1. Agreement to Terms
Section titled “1. Agreement to Terms”By accessing or using the AI Shift Planner website, the AI Shift Planner Google Workspace™ Add-On, or its associated Web App (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.
The Service provides functionality within Google Docs™, Google Sheets™, Google Slides™, Gmail™, and Google Drive™. AI Shift Planner is operated by Codoha Ltd., to which we may refer as “we,” “our,” or “us.”
1.1 Geographic Restriction
Section titled “1.1 Geographic Restriction”AI Shift Planner is NOT available to users located in the European Economic Area (EEA), Switzerland, the United Kingdom, and Russia. By accessing or using the Service, you represent and warrant that you are NOT located in any of these regions. If you are in one of these regions, you are strictly prohibited from using the Service.
2. Description of Service
Section titled “2. Description of Service”AI Shift Planner is a service that provides tools to generate and manage shift schedules. Its functionality includes transforming natural language instructions into structured schedules, revising existing schedules, and integrating with Google Workspace™ applications.
The Service operates by sending your instructions from the Application to our secure Backend Service, which then utilizes artificial intelligence (AI) models (such as Google Gemini™) and our proprietary logic to generate an optimized shift plan. The Backend Service also communicates with our License API to validate your subscription status.
3. Subscriptions, Payments, and Refunds

Section titled “3.1. Plans and Features”The Service is offered through different plans, which may include a free tier and one or more paid subscription tiers (“Pro”). The features and limitations of each plan, such as access to the PRO Optimization Engine and priority support, are described on our website. We reserve the right to modify the features of any plan at any time.
3.2. Merchant of Record and Payment Processing
Section titled “3.2. Merchant of Record and Payment Processing”Our order process is conducted by our online reseller Paddle.com Market Limited (“Paddle”). Paddle is the Merchant of Record for all our orders. Your payment information is provided directly to Paddle and is subject to Paddle’s Terms of Use and Privacy Policy. Paddle also provides customer service inquiries related to payments and handles refunds. We do not collect or store your payment card details.
3.3. Billing
Section titled “3.3. Billing”By purchasing a paid plan, you agree to a recurring subscription fee at the rates you agree to. Your subscription will automatically renew at the end of each billing cycle unless you cancel it through the subscription management portal provided by Paddle or by contacting our support.
3.4. Refund Policy
Section titled “3.4. Refund Policy”As our Service provides digital software that is accessible immediately upon purchase, we offer a 14-day money-back guarantee on all new Pro plan subscriptions.
If you are not satisfied with the Service for any reason within the first 14 days of your initial purchase, you are eligible for a full refund. To request a refund, please send a message to support@aishiftplanner.com within this 14-day period. We will coordinate with Paddle to process your refund.
After the 14-day period has passed, subscription fees are non-refundable, except where required by applicable law. This guarantee applies only to your first purchase and does not apply to subscription renewals.
3.5. Price Changes
Section titled “3.5. Price Changes”We reserve the right to change the price of our subscription plans. We will provide you with reasonable prior notice of any price changes to give you an opportunity to cancel your subscription before the new price takes effect.
4. User Conduct
Section titled “4. User Conduct”You agree not to use the Service to:
- Violate any applicable local, state, national, or international law.
- Infringe upon the intellectual property rights of Codoha Ltd. or any third party.
- Submit any instructions that are unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Submit, upload, or process any content for which you do not have the necessary rights or permissions.
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
- Transmit any material that contains software viruses or any other malicious code.
- Interfere with or disrupt the Service, our servers, or networks connected to the Service. This includes submitting an unreasonable number of requests to our API.
- Use any AI-powered feature to process sensitive, confidential, or personal information not required for scheduling (e.g., financial, medical, or government identification data).
- Use any AI-powered feature in a manner that violates Google’s™ Generative AI Prohibited Use Policy or any other applicable third-party terms.
5. Intellectual Property
Section titled “5. Intellectual Property”5.1. The Service and its original content, features, and functionality are and will remain the exclusive property of Codoha Ltd. and its licensors. You are prohibited from reverse engineering, decompiling, or attempting to discover the source code of the Service.
5.2. User Content Responsibility: You retain ownership of any intellectual property rights in the content you submit through the Service (your “User Content,” e.g., scheduling instructions). However, by using the Service, you grant Codoha Ltd. and its necessary third-party service providers (like Google™ and OpenRouter.ai) a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and modify your User Content solely for the purpose of operating, providing, and improving the Service for you. You are solely responsible for your User Content and must ensure you have the legal right to process it using our Service.
6. Limitation of Liability and Disclaimer of Warranties
Section titled “6. Limitation of Liability and Disclaimer of Warranties”6.1. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
6.2. Disclaimer on AI-Generated Content: To the maximum extent permitted by applicable law, Codoha Ltd. assumes no liability for any (i) errors, mistakes, or inaccuracies in the schedules or other content generated by the Service; (ii) personal injury or property damage of any nature whatsoever resulting from your access to or use of our Service; or (iii) any damages arising from the content you choose to process via the Service.
6.3. Disclaimer on Legal and Regulatory Compliance: AI Shift Planner is a tool to assist with scheduling; it does not provide legal advice or ensure compliance with labor laws. It is your sole responsibility to ensure that any schedule generated by the Service complies with all applicable local, state, and federal laws, regulations, collective bargaining agreements, union contracts, and industry-specific work-hour rules. Codoha Ltd. and its operators shall not be liable for any claims, penalties, or damages arising from non-compliance with such regulations.
6.4. Limitation of Liability: IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SERVICE OR THE USE OR OTHER DEALINGS IN THE SERVICE.
6.5. Maximum Liability: In no event shall Codoha Ltd.’s total liability to you for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) exceed the amount you paid for the Service in the last 12 months, or 10 USD, whichever is less.
7. Third-Party Services
Section titled “7. Third-Party Services”The Service relies on third-party services to function, including but not limited to Google Cloud Platform™, Google™ APIs, OpenRouter.ai (for routing AI requests), the Google Gemini™ API, and Paddle. We do not control and are not responsible for the availability, functionality, or terms of these third-party services.
8. Indemnification
Section titled “8. Indemnification”You agree to defend, indemnify, and hold harmless Codoha Ltd. and its affiliates from and against any and all claims, damages, obligations, losses, and expenses (including attorney’s fees) arising from: a) your use of and access to the Service, including any User Content you submit; or b) your violation of these Terms.
9. Termination
Section titled “9. Termination”We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
10. Changes to Terms
Section titled “10. Changes to Terms”We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page.
11. Governing Law and Jurisdiction
Section titled “11. Governing Law and Jurisdiction”These Terms shall be governed by the laws of the Republic of China (Taiwan). You agree to submit to the exclusive jurisdiction of the Hualien District Court, Taiwan for any disputes arising from these Terms or the Service.
12. Intellectual Property Notices

Intellectual Property Notices”Google Docs™, Google Slides™, Google Sheets™, Google Workspace™, Gmail™, Google Drive™, Google Gemini™, and Google Cloud™ are trademarks of Google LLC. This Service is not endorsed by or affiliated with Google LLC. Paddle is a trademark of Paddle.com Market Limited.
